1、Bidding Conditions
Overview:1.The People's Republic of China has received financing from the Asian Development Bank (ADB) toward the cost of the Construction of ？West Jinan Waste Heat Utilization and Clean Energy Subproject under "Air Quality Improvement in the Greater Beijing-Tianjin-Hebei Region – Shandong Clean Heating and Cooling Project", and it intends to apply part of the proceeds of this financing to payments under the contract named above. Bidding is open to bidders from eligible source countries of ADB.
2.Jinan Thermal Power Co., Ltd. ("the Purchaser") invites sealed bids from eligible bidders for Goods and materials for 37km heating pipelines. This package comprises three contracts as follows:
Contract 1: Goods and materials for 37km heating pipelines ; and
Contract 2: Goods and materials for 37km heating pipelines ; and
Contract 3: Goods and materials for 37km heating pipelines .
Notes: Bidders may bid for one contract or any combination of the contracts. Bidders must clearly specify which contract(s) they are bidding for.

3、Qualification Requirements For Bidder
Qualifications or Performance:(1) Interest Conflict of bidders
A Bidder shall not have a conflict of interest. All Bidders found to have a conflict of interest shall be disqualified. A Bidder may be considered to be in a conflict of interest with one or more parties in this bidding process if any of, including but not limited to, the following apply:
(a) they have controlling shareholders in common; or
(b) they receive or have received any direct or indirect subsidy from any of them; or
(c) they have the same legal representative for purposes of this Bid; or
(d) they have a relationship with each other, directly or through common third parties, that puts them in a position to have access to material information about or improperly influence the Bid of another Bidder, or influence the decisions of the Purchaser regarding this bidding process; or
(e) a Bidder participates in more than one bid in this bidding process, either individually or as a partner in a Joint Venture. This will result in the disqualification of all Bids in which it is involved. However, this does not limit the participation of a Bidder as a subcontractor in another bid or of a firm as a subcontractor in more than one Bid; or
(f) a Bidder, Joint Venture partner, associates, parent company or any affiliated entity, participated as a consultant in the preparation of the design or technical specifications of the goods and services that are the subject of the Bid; or
(g) a Bidder was affiliated with a firm or entity that has been hired (or is proposed to be hired) by the Purchaser or Borrower as Project Manager for the contract; or
(h) a Bidder would be providing goods, works, or nonconsulting services resulting from or directly related to consulting services for the preparation or implementation of the project specified in the BD's ITB.
(2) Contractual Experience
Successful completion as main supplier within the？last？5 years, of at least 1 contract each valued at:
Contract 1: RMB 74 million, or equivalent
Contract 2: RMB 78 million, or equivalent
Contract 3: RMB 92 million, or equivalent
with nature, and complexity similar to the scope of supply described in Section 6 (Schedule？of？Supply).
(3) Technical Capacity
The Bidder shall demonstrate that the goods offered have:
(i) been in production for at least 8 years,
(ii) been sold a minimum of 15,000 meters of finished insulating pipes with diameters greater than or equal to DN1000 over the last three(3) years, and
(iii) been in operation for a minimum of 2 years.

(4) Production Capacity
The Bidder or manufacturer shall demonstrate that it can supply the type, size, and quantity of the goods as required by Purchaser in accordance with the Delivery and Completion Schedule in Section？6 (Schedule of Supply).
(5) Financial Situation
Submission of audited financial statements or, if not required by the law of the Bidder's country, other financial statements acceptable to the Purchaser, for the last three (3) years to demonstrate the current soundness of the Bidder's financial position.
As a minimum, the Bidder's net worth for the last year calculated as the difference between total assets and total liabilities should be positive.
(6) Size of Operation (Average Annual Turnover)
Minimum average annual turnover of:
Contract 1: RMB 60 million, or equivalent
Contract 2: RMB 65 million, or equivalent
Contract 3: RMB 76 million, or equivalent
calculated as total payments received by the bidders for contracts completed or being executed in the past three (3) years.
(7) Cash Flow Capacity
Bidders shall also provide relevant certificates proving that they have liquid assets, credit lines and other sources of funds required to fulfil the contract, totaling not less than:
Contract 1: RMB 28 million, or equivalent
Contract 2: RMB 29 million, or equivalent
Contract 3: RMB 34 million, or equivalent.
